Website Terms of Use and Terms of Sale
Last updated: September 2, 2026
These Website Terms of Use and Terms of Sale (“Terms”) govern your access to and use of precisionarrowbuilder.com and related websites, online features, support channels, community catalog features, and services that link to these Terms (collectively, the “Services”), and your purchase, subscription, and related transaction for Precision Arrow Builder software. Precision Arrow Builder Software, LLC (“Precision Arrow Builder,” “Company,” “we,” “us,” or “our”) is the provider and licensor of the Software, but a third-party merchant of record, payment processor, reseller, marketplace, or platform may act as seller of record, process payment, collect taxes, provide order or renewal notices, and handle refunds or transaction administration. “Software” means the Precision Arrow Builder Windows desktop application, its proprietary documentation, and Company-provided updates. “Business User” means a person obtaining or using the Services or Software primarily for commercial, professional, governmental, or organizational purposes; “Consumer” means an individual acting primarily for personal, family, or household purposes.
Installation and use of the Software are also governed by the End User License Agreement (“EULA”) presented during installation and included with the Software. Our Privacy Policy explains how we handle information.
By accessing or using the Services, clicking to accept, submitting an order, or purchasing or using a subscription, you agree to these Terms. If you do not agree, do not access or use the Services or purchase the Software. If you accept for an organization, you represent that you have authority to bind it. No purchase order or other customer term modifies these Terms unless expressly accepted in a writing signed by the Company. Mandatory rights that cannot lawfully be waived remain unaffected.
Section 1. Eligibility and Authority
You must be at least 18 years old, have reached the age of majority where you live, and be legally capable of entering into a binding agreement to make a purchase or use an account. The Services are not directed to children.
If you use the website or purchase a subscription for a company or other organization, you represent that you have authority to bind that organization. In that case, “you” includes both you and the organization.
Section 2. Website Information
Website content is provided for general informational and commercial purposes. We may update, correct, remove, or change website content, product descriptions, availability, and features at any time.
We try to describe the Software accurately, but screenshots, examples, feature descriptions, compatibility information, and other website content may not reflect every current detail. The checkout page, order confirmation, these Terms, and the EULA govern your purchase and license.
Section 3. Purchases and Payment Processing
Purchases may be processed, sold, or fulfilled by a third-party payment provider, merchant of record, reseller, marketplace, or platform. You may be required to agree to that provider’s terms and privacy policy. An order is an offer to purchase and is accepted only when the applicable seller or merchant of record confirms acceptance or delivers access. We may reject or cancel an order before acceptance for suspected fraud, pricing or description errors, legal restrictions, unavailability, or other legitimate reasons. If an order is canceled after payment, the amount collected for the canceled item will be returned as required by law and the applicable seller’s policies.
You represent that billing and payment information is accurate, current, and that you are authorized to use the payment method. You authorize the applicable payment provider, merchant of record, or seller of record to charge that method for the displayed price, applicable taxes and fees, and recurring renewal charges disclosed at checkout. You must promptly update payment information. Failed or reversed payment may result in collection attempts, suspension, or termination, subject to applicable law.
We do not receive or store complete payment-card numbers. We may receive purchase, subscription, refund, tax, customer, and license information needed to fulfill and administer your order.
Prices are shown in the currency displayed at checkout and exclude taxes unless stated otherwise. You are responsible for sales, use, value-added, withholding, customs, and similar taxes, duties, fees, and charges, other than taxes on our net income, except to the extent the applicable seller collects them. Business Users must provide valid exemption documentation before purchase and remain responsible for any legally required self-assessment. We may correct genuine pricing or description errors before accepting an order.
Section 4. Subscription Term and Software Access
Unless a different term is expressly stated at checkout, a Precision Arrow Builder subscription grants one year of licensed access to the Software.
An active subscription includes access, at no additional license charge, to updates, upgrades, and new versions of the Software that we generally release to similarly situated subscribers during the active subscription term. We do not promise that any particular update, feature, or new version will be released.
Your right to install and use the Software is governed by the EULA. Unless the applicable purchase terms state otherwise, each purchased license permits one activated installation at a time.
When a subscription expires or terminates without renewal, the right to use the Software ends as described in the EULA. Expiration does not automatically delete local files or working data stored on your computer, but access to or use of that data through the Software may be unavailable without an active license.
Section 5. Renewal and Cancellation
The checkout page will disclose whether a subscription renews automatically, the renewal interval, price or method for determining it, and how to cancel. If checkout does not clearly disclose automatic renewal, the subscription will not automatically renew.
If you purchase an automatically renewing subscription, it will renew for successive periods equal to the initial term unless checkout states otherwise. You authorize the applicable payment provider, merchant of record, or seller of record to charge the then-applicable renewal price and taxes using the payment method on file unless you cancel before the renewal charge is processed. The merchant of record or payment provider may provide required renewal disclosures, acknowledgments, reminders, and cancellation mechanisms, and we may rely on those notices, send supplemental notices, or limit automatic-renewal availability where required by applicable law. If a charge fails, we may retry it and suspend access while payment remains due.
You may cancel future automatic renewal using the cancellation method provided at checkout, in your payment-provider receipt or customer portal, or by using the contact information in Section 26. Cancellation is effective when completed through the designated cancellation mechanism, and you may cancel any time before the renewal charge is processed. If the designated mechanism requires processing time, submit cancellation sufficiently before renewal to permit that processing. Cancellation stops future renewal charges but ordinarily becomes effective at the end of the current paid term, and access continues through that term unless law, a stated offer, or an approved refund requires earlier termination. Keep the cancellation confirmation. Canceling does not itself create a refund right.
If a subscription does not renew automatically, access ends at the close of the paid term unless you purchase a new term.
We may change the price for a future subscription or renewal term. A price change will not alter the price already paid for the current term and will be disclosed before it applies, as required by law.
Section 6. Refunds
Except as required by applicable law or expressly stated in a refund policy or offer presented at purchase, all sales are final and subscription fees are non-refundable after the license or access credentials have been delivered or activated. Statutory cooling-off, cancellation, refund, or remedy rights for Consumers remain available where they cannot lawfully be excluded. Any request must include information reasonably needed to locate and verify the transaction.
The applicable merchant of record, payment provider, or seller of record may approve, deny, process, or issue refunds under its own policies and legal obligations. Approved refunds may be issued through the original payment method, less amounts lawfully nonrefundable, and may result in cancellation or deactivation of the associated subscription and license. Payment-provider processing times and terms may apply. Duplicate charges and billing errors should be reported promptly using the contact information in Section 26 so we can investigate. Before initiating a chargeback, you agree to contact us and provide a reasonable opportunity to resolve the issue, except where prohibited by law or necessary to preserve card-network or statutory deadlines. Fraudulent or abusive disputes may result in suspension, termination, and recovery of lawful costs; this does not limit a good-faith dispute or legal right.
Section 7. License Keys and Subscription Records
You are responsible for keeping license keys, purchase receipts, subscription-management links, account credentials, and devices secure; for activity conducted through them; and for promptly notifying us of suspected compromise. You may not allow unauthorized users to access a license or account. We may require reasonable verification before changing account, billing, or license records.
You may not publish, sell, sublicense, share, pledge, or transfer a license, license key, subscription, or account to another person or entity. Moving an activation to a replacement computer owned or controlled by the same licensee is permitted only as allowed by the EULA, available deactivation procedures, applicable activation limits, and reasonable anti-fraud controls. A proposed transfer arising from a Business User’s merger, reorganization, or sale of substantially all relevant assets requires our prior written consent unless applicable law prohibits that restriction. We may request evidence of identity, ownership, deactivation, and transaction history before assisting with a permitted move or transfer.
Contact us promptly if you believe a license key or subscription record has been compromised or used without authorization.
Section 8. Software License
The Software is licensed, not sold. The EULA governs installation, activation, permitted use, restrictions, expiration, termination, warranty disclaimers, limitations of liability, and third-party software notices.
If these Terms conflict with the EULA regarding installation or use of the Software, the EULA controls. These Terms and the checkout terms control pricing, payment, billing, and subscription renewal. Applicable third-party software licenses control the third-party components to which they apply.
Section 9. Community Catalog and User Submissions
The Software may allow you to submit component information, corrections, notes, or other material for possible inclusion in a shared community catalog (“Submissions”).
You retain any rights you have in a Submission. By submitting it, you grant Precision Arrow Builder Software, LLC a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, organize, combine, publish, distribute, display, and otherwise use the Submission to operate, improve, document, and distribute the community catalog and related products and services.
You represent, warrant, and agree that:
- you have the right to provide the Submission and grant this license;
- the Submission and our permitted use of it do not infringe, misappropriate, or violate another party’s intellectual-property, privacy, publicity, contractual, or other rights;
- the Submission is lawful, is not deceptive, defamatory, malicious, or harmful, and does not contain another person’s confidential information, trade secrets, or unnecessary personal information; and
- to the best of your knowledge, factual information in the Submission is accurate.
We may, but are not obligated to, review, verify, accept, reject, edit, normalize, combine, attribute, remove, or decline to publish any Submission, and may preserve records as reasonably necessary for legal, security, or operational purposes. We do not endorse Submissions or guarantee that community catalog information is complete, current, accurate, noninfringing, or suitable for any purpose. Other users may rely on or modify catalog information at their own risk. To report allegedly unlawful or infringing content, use the contact information in Section 26 and provide sufficient detail for us to investigate and, where appropriate, remove or disable access to the material.
Section 10. Acceptable Use
You may not use the website or related services to:
- violate applicable law or another person’s rights;
- interfere with, disrupt, damage, or probe the security of the website or services;
- introduce malware or harmful code;
- gain unauthorized access to systems, data, licenses, or accounts;
- scrape, harvest, index, data-mine, or use automated means to access the Services except as expressly authorized in writing, or in any manner that imposes an unreasonable load, bypasses controls, or extracts community catalog or proprietary data;
- submit unlawful, infringing, deceptive, malicious, or abusive content; or
- circumvent subscription, activation, licensing, usage, rate, geographic, or security controls; impersonate another person; misrepresent affiliation; use the Services to develop or train a competing product or model except to the extent a restriction is prohibited by law; or reverse engineer any non-Software portion of the Services except where applicable law expressly permits it.
Section 11. Intellectual Property
The website, Software, branding, documentation, graphics, text, and other proprietary materials are owned by Precision Arrow Builder Software, LLC or its licensors and are protected by intellectual-property laws.
These Terms do not grant you ownership of any Precision Arrow Builder intellectual property. Limited rights to use the Software are granted only under the EULA.
If you provide ideas, suggestions, enhancement requests, or other feedback that is not a Submission, you grant us and our affiliates a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use, reproduce, modify, commercialize, and otherwise exploit that feedback for any lawful purpose without restriction, attribution, or compensation. Do not provide feedback subject to terms that would require us to disclose or license our products or materials.
Section 12. Archery Safety and User Responsibility
Precision Arrow Builder is an informational, calculation, inventory, and optimization tool, not a substitute for manufacturer instructions, qualified professional judgment, training, inspection, or safe practices. It does not physically inspect components and cannot determine whether any arrow, component combination, assembly method, finished arrow, bow setup, or use is safe, legal, compatible, or suitable for a particular bow, activity, environment, or person.
Software and website results depend on user input, manufacturer data, catalog data, assumptions, algorithms, and other information that may be incomplete, inaccurate, outdated, or entered incorrectly.
You are solely responsible for independently verifying all measurements, calculations, component dimensions, weights, tolerances, dynamic and static characteristics, compatibility, fit, structural condition, recalls, manufacturer requirements, bow requirements, and safe assembly and use before constructing, modifying, handling, or shooting an arrow. Inspect equipment before each use, use appropriate protective equipment and a safe range and backstop, supervise minors, and comply with all laws and range rules. Business Users are additionally responsible for competent personnel, training, workplace procedures, and risk assessments.
Do not rely on the website, Software, optimization results, or community catalog as the sole basis for a safety-critical decision. Follow all bow, arrow, and component manufacturer instructions and accepted archery safety practices. Stop using any component or arrow that appears damaged, incompatible, improperly assembled, or unsafe.
Section 13. Third-Party Services and Components
The Services and Software may display, link to, rely on, or interoperate with third-party websites, payment services, platforms, data, products, or services. Third parties are independent and governed by their own terms and privacy policies. We do not control or endorse them and are not responsible for their content, accuracy, availability, security, performance, acts, omissions, or practices. Features dependent on a third party may change or become unavailable without liability to the extent permitted by law. Your dealings with third parties are solely between you and them.
The Software includes third-party and open-source components governed by separate licenses. Notices and license texts are included with the Software, including in the legal notices distributed with it. Nothing in these Terms limits rights granted under an applicable third-party license, and that license controls solely as to the component if a conflict exists.
Export and Sanctions Compliance. You may not access, export, reexport, release, or use the Services, Software, or related technical information in violation of United States or other applicable export-control, sanctions, or trade laws. You represent that you are not prohibited from receiving them, are not located in or ordinarily resident in a comprehensively sanctioned territory to the extent prohibited, and will not use them for prohibited end uses. You must obtain required authorizations and immediately stop use if continued access would violate law.
Section 14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, WEBSITE CONTENT, SOFTWARE INFORMATION, COMMUNITY CATALOG, SUBMISSIONS, CALCULATIONS, RECOMMENDATIONS, AND SUPPORT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS. YOUR USE AND ANY ARCHERY, PURCHASING, DESIGN, ASSEMBLY, OR SAFETY DECISION ARE AT YOUR SOLE RISK.
PRECISION ARROW BUILDER SOFTWARE, LLC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AVAILABILITY, SECURITY, COMPATIBILITY, AND RESULTS, AND WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE. NO ORAL OR WRITTEN INFORMATION CREATES A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
WE DO NOT WARRANT THAT THE WEBSITE, COMMUNITY CATALOG, OR RELATED SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETE, CURRENT, SECURE, OR SUITABLE FOR ANY PARTICULAR ARROW, BOW, COMPONENT, OR USE.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you. Consumers retain nonwaivable statutory warranties and remedies. The duration of any warranty that cannot be disclaimed is limited to the shortest period permitted by law.
Section 15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRECISION ARROW BUILDER SOFTWARE, LLC, ITS AFFILIATES, AND THEIR OWNERS, OFFICERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE “OTHER RELEASED PARTIES”) WILL NOT BE LIABLE UNDER ANY THEORY OF LIABILITY FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, ENHANCED, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR USE; PROCUREMENT OF SUBSTITUTE SERVICES; BUSINESS INTERRUPTION; OR PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM RELIANCE ON INFORMATION OR UNSAFE SELECTION, ASSEMBLY, OR USE OF ARCHERY EQUIPMENT, ARISING OUT OF OR RELATED TO THE SERVICES, A PURCHASE, SUBSCRIPTION, COMMUNITY CATALOG, SUBMISSION, OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF PRECISION ARROW BUILDER SOFTWARE, LLC AND THE OTHER RELEASED PARTIES ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICES, OR A TRANSACTION WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE APPLICABLE SELLER FOR THE SUBSCRIPTION OR SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$50. THE LIMITATIONS APPLY IN THE AGGREGATE, REGARDLESS OF THE NUMBER OF CLAIMS, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
The EULA contains additional limitations applicable to the Software. Nothing excludes or limits liability that cannot lawfully be excluded or limited, which may include liability for fraud, willful misconduct, or death or personal injury directly caused by negligence where applicable law so provides. Some jurisdictions do not allow certain limitations, so they apply only to the maximum extent permitted. These allocations are an essential basis of the bargain.
Section 16. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Precision Arrow Builder Software, LLC, its affiliates, and their owners, officers, managers, employees, contractors, licensors, and service providers from third-party claims, demands, actions, damages, judgments, liabilities, losses, penalties, costs, and expenses, including reasonable attorneys’ fees, arising from your Submissions; unlawful, unsafe, or unauthorized use of the Services or archery equipment; violation of these Terms or law; infringement or misappropriation of another person’s rights; or, for a Business User, acts or omissions of its personnel and users. We may control the defense and settlement, and you will reasonably cooperate. You may not settle a claim imposing liability, admission, or obligation on an indemnified party without our written consent. This section does not require a Consumer to indemnify us to the extent prohibited by law.
Section 17. Suspension and Termination
We may investigate and, with or without advance notice when reasonably necessary, restrict, suspend, or terminate access to any account, license-administration feature, community feature, or Service to address suspected fraud, chargeback abuse, security or legal risk, unlawful or harmful conduct, nonpayment, license misuse, sanctions concerns, infringement, or violation of these Terms. Where practicable and legally appropriate, we may provide notice and an opportunity to cure. We may preserve or disclose relevant records as permitted by the Privacy Policy and law. Suspension does not excuse accrued payment obligations.
You may stop using the Services at any time; stopping use does not cancel an auto-renewing subscription or create a refund. Upon termination, rights granted to you under these Terms end and you must cease unauthorized use. Provisions that by their nature should survive will survive, including payment obligations, ownership, Submission and feedback licenses, disclaimers, limitations of liability, indemnification, dispute terms, and general provisions.
Section 18. Changes to These Terms
We may update these Terms prospectively for legal, security, operational, or product reasons. The updated version will be posted with a revised “Last updated” date. If a change materially reduces your rights or increases your obligations, we will provide notice through the Services, email, or another reasonable method when required by law. The notice will state when the change takes effect.
Changes do not retroactively alter a completed purchase or the paid portion of an existing subscription unless required by law or accepted by you. Continued use of the website or related services after updated Terms become effective constitutes acceptance of the updated Terms.
Section 19. Governing Law and Dispute Resolution
Governing Law. These Terms and any dispute arising out of or relating to them, the Services, a purchase, subscription, communication, or relationship with the Company are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods. The Federal Arbitration Act (“FAA”) governs the interpretation and enforcement of the arbitration provisions in this Section 19. This choice of law does not deprive a Consumer of the protection of non-waivable mandatory laws of the Consumer’s place of residence. The EULA controls installation and use of the Software; its venue clause applies to a dispute governed solely by the EULA unless this Section 19 also governs the same dispute, in which case this Section 19 controls the dispute procedure to the maximum extent permitted by law.
Informal Resolution Required. Before filing arbitration or litigation, the claimant must send an individualized written notice describing the claimant’s name and contact information, account or transaction, facts, legal basis, requested relief, and personally signed authorization. Notices to us may be sent to support@precisionarrowbuilder.com with the subject “Legal Dispute Notice” and, if the claimant has a confirmed Company legal-notice address, by tracked mail to that address. We will send notice to the most recent email or mailing address available for you. The parties will confer in good faith, individually, for at least thirty (30) days after receipt. Limitations periods and filing-fee deadlines are tolled during that period. This requirement does not bar urgent temporary relief, small-claims filings, or claims where waiting would cause a legal right to expire.
Binding Individual Arbitration. Except for the carveouts below and unless you timely opt out, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, a purchase, subscription, communication, or relationship with the Company will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under the then-current AAA Consumer Arbitration Rules or Commercial Arbitration Rules, as appropriate, and as modified by this Section. The FAA governs the interpretation and enforcement of this Section 19. If AAA is unavailable or unwilling, a court may appoint a substitute under 9 U.S.C. § 5. The arbitration may occur by documents, telephone, video, or in person at a reasonably convenient location. The arbitrator may award the same individual relief a court could award and must issue a reasoned written decision. Company will pay arbitration fees to the extent required by applicable law or AAA rules; otherwise fees are allocated under those rules. Each party bears its own attorneys’ fees unless law or the arbitrator authorizes otherwise.
Class, Collective, Mass-Action, Representative-Action, Private-Attorney-General, and Jury-Trial Waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES A JURY TRIAL AND MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR PARTICIPANT IN A CLASS, COLLECTIVE, MASS, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims or award relief for anyone other than the individual claimant. If a final decision holds a particular claim or remedy cannot lawfully be arbitrated on an individual basis, only that claim or remedy will proceed in court after all arbitrable matters are completed.
Carveouts and Courts. Either party may bring an eligible individual action in small-claims court; seek temporary or preliminary injunctive relief in court to protect intellectual property, confidential information, security, or prevent unauthorized access while arbitration is pending; or report matters to a government agency. Consumers retain any nonwaivable right to sue or seek public injunctive relief. The arbitrator has authority to resolve disputes about the formation, validity, enforceability, scope, and arbitrability of this Section 19, except that a court decides the enforceability of the class-action, collective-action, mass-action, private-attorney-general, and representative-action waiver. For non-arbitrable disputes and permitted court proceedings, the parties consent to the state courts located in El Paso County, Colorado, and the United States District Court for the District of Colorado, except a Consumer may proceed in another forum required by applicable law.
Thirty-Day Opt-Out. You may opt out of arbitration by sending a personally signed notice to support@precisionarrowbuilder.com with the subject “Arbitration Opt-Out” within thirty (30) days after the earliest of first accepting these Terms, first accepting the EULA, or first purchasing a subscription or Software license that references arbitration. The notice must state your full name, the email associated with the purchase or account, applicable license or order information, and an unequivocal request to opt out of arbitration. Opting out affects only arbitration and does not affect the class-action waiver, jury-trial waiver, governing law, forum, limitations, or any other provision of these Terms, and will not adversely affect access or service. If you opt out, or if arbitration is unenforceable, the jury waiver and exclusive individual-action requirement apply only to the extent independently enforceable, and disputes will be resolved in the courts identified in this Section 19. This Section 19 survives termination of these Terms.
Section 20. General Terms
Entire Agreement and Priority. These Terms, the EULA, the Privacy Policy, applicable checkout terms, and expressly incorporated policies constitute the entire agreement concerning the Services, purchase, subscription, and Software and supersede prior or contemporaneous communications on those subjects. If terms conflict: the checkout terms control price, seller identity, payment, subscription term, and renewal disclosures for that order; these Terms control website and Service use, sales, billing, renewal, and disputes within their scope; the EULA controls installation, activation, and use of the Software except as expressly stated in Section 19; the Privacy Policy governs personal-information practices but does not create contractual rights beyond applicable law; and an applicable third-party license controls its component. Any negotiated agreement signed by an authorized Company representative controls to the extent it expressly states a conflict.
Assignment; Severability; Waiver. You may not assign, delegate, or transfer these Terms, an account, or rights or obligations under them without our prior written consent, and any prohibited attempt is void. We may assign or delegate these Terms in connection with a merger, reorganization, financing, change of control, sale of equity or assets, to an affiliate, or by operation of law. Subject to the specific severability rule in Section 19, if a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent and the remainder remains effective. A waiver must be in writing and signed by the waiving party; delay or failure to enforce is not a waiver, and a waiver on one occasion is not continuing.
Notices and Electronic Communications. You consent to receive agreements, disclosures, receipts, renewal and cancellation communications, notices, and other records electronically at the email address or interface associated with your transaction or account, subject to applicable law. You are responsible for keeping contact information current. Electronic records and signatures satisfy legal writing and signature requirements. Operational and legal notices may be sent by email, posted in the Services, or delivered through another reasonable method and are effective when sent or posted, except where law requires receipt or a different method. Formal dispute notices are governed by Section 19. You may withdraw consent to electronic records by contacting support, but withdrawal may require termination of online Services if electronic delivery is essential.
Force Majeure. We are not liable for delay, interruption, or failure caused by events beyond our reasonable control, including natural disasters, fire, severe weather, epidemic, war, terrorism, civil unrest, labor disruption, utility or telecommunications failure, internet or hosting outage, cyberattack, governmental action, embargo, sanctions, supply failure, or third-party service failure. This does not excuse your payment for amounts already due or limit nonwaivable Consumer rights. We will use commercially reasonable efforts to mitigate material effects.
Interpretation. Headings are for convenience only. “Including” means “including without limitation”; singular includes plural as context requires; and “written” includes electronic form. These Terms will not be construed against either party as drafter. No person other than the parties and expressly identified indemnified parties is an intended third-party beneficiary. The parties are independent contractors; these Terms create no agency, partnership, joint venture, fiduciary, employment, franchise, or exclusive relationship.
Section 21. Privacy, Data Protection, and Security
Our Privacy Policy, incorporated by reference, describes our current practices for collecting, using, disclosing, retaining, and protecting personal information in connection with the Services and Software, and is available on our website. This Section 21 is a qualified summary of current practices and does not create additional contractual rights or obligations except as expressly stated in these Terms or required by applicable law. By using the Services, you acknowledge the Privacy Policy and consent to the practices it describes, to the extent consent is required by applicable law. Where you provide another person’s personal information (including in a Submission), you represent that you have any necessary authority or consent to do so.
We currently implement commercially reasonable administrative, technical, and organizational safeguards designed to protect information under our control. However, no method of transmission or storage is completely secure, and we do not warrant that unauthorized access, loss, or alteration will never occur. This summary does not create additional security obligations except as expressly stated in these Terms or required by applicable law. You are responsible for maintaining the security of your account credentials, license keys, devices, and local data.
We process personal information as a controller for our own operational, billing, security, legal-compliance, and product-improvement purposes, and may engage service providers or processors under appropriate contractual protections. Where required by applicable data-protection law, we honor verified requests to access, correct, delete, port, or restrict the processing of personal information, and we will not discriminate against you for exercising those rights. Requests may be submitted using the contact information in Section 26. We retain information for as long as reasonably necessary to fulfill the purposes described in the Privacy Policy, to comply with legal obligations, to resolve disputes, and to enforce these Terms.
Section 22. Copyright Policy and Infringement Notices
We respect the intellectual-property rights of others and expect users to do the same. We will respond to clear notices of alleged copyright or other intellectual-property infringement concerning the community catalog, Submissions, or other user-provided content, and we may remove or disable access to allegedly infringing material in appropriate circumstances.
To report alleged copyright or other intellectual-property infringement, send a written notice using the contact information in Section 26 with the subject “IP Complaint” that includes: (a) a physical or electronic signature of the rights owner or authorized agent; (b) identification of the work or rights claimed to be infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the rights owner, its agent, or the law; and (f) a statement that the information is accurate and that you are authorized to act on the rights owner’s behalf. If the Company later designates and registers a DMCA agent, it may provide separate DMCA notice instructions. The person who posted the material may submit a response or counter-notice where appropriate.
We may, in appropriate circumstances and in our discretion, disable or terminate the accounts, licenses, or catalog-contribution privileges of users who are determined to be repeat infringers. Knowingly submitting a material misrepresentation in a notice or counter-notice may subject you to liability.
Section 23. Beta, Preview, and Optional Features
We may make available beta, preview, early-access, trial, or other pre-release or optional features (“Beta Features”) to evaluate performance and gather feedback. Beta Features are provided “as is” and “as available,” are not part of the generally released Services or Software, and may be incomplete, unstable, or discontinued at any time without notice or liability.
Beta Features may be subject to additional terms presented when you access them. To the maximum extent permitted by law, the warranty disclaimers, limitations of liability, and indemnification provisions of these Terms apply fully to Beta Features, and no service-level, availability, support, or data-retention commitment applies to them. You should not rely on Beta Features for any safety-critical, production, or business-critical purpose, and you assume all risk associated with their use.
Section 24. Consumer Disclosures and Automatic-Renewal Notices
This Section supplements Section 5 for Consumers and applies to the extent required by applicable automatic-renewal, negative-option, and consumer-protection laws. If your subscription automatically renews, the checkout page and your order confirmation will clearly and conspicuously disclose the recurring nature of the charges, the renewal interval, the renewal price or the method used to determine it, the fact that the subscription continues until canceled, and the method for canceling.
The applicable merchant of record, payment provider, seller of record, or Company will obtain your affirmative consent to automatically renewing charges before charging your payment method, provide an acknowledgment of the subscription terms and cancellation policy, and, where required by law, send renewal or price-change reminders in advance of a charge. Company may rely on renewal and cancellation notices provided by the merchant of record or payment provider, may send supplemental notices, and may limit automatic-renewal availability where required by law. You may cancel at any time before the renewal charge is processed using the cancellation mechanism described in Section 5, which will include an online or electronic option where required by law, without being required to engage in any additional retention step beyond those the law permits.
Cancellation stops future renewal charges as provided in Section 5. Where applicable law grants a Consumer a right to a refund of an unauthorized or improperly disclosed automatic-renewal charge, the applicable merchant of record, payment provider, seller of record, or Company will honor that right as required by law. Nothing in these Terms limits any nonwaivable Consumer right under applicable law.
Section 25. International Access, Availability, and Accessibility
We operate the Services from the United States and make no representation that the Services, Software, or community catalog are appropriate, lawful, or available for use in every location. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with all applicable local laws, including import, export, tax, consumer-protection, and data-transfer requirements. We may restrict or limit the availability of the Services or any feature in any jurisdiction, to any person, or at any time, in our reasonable discretion.
